Terms of Service
By working with me (Deepak Jha), you agree to the following terms of service. Any signed contract or agreement between us takes precedence over the terms stated below.
These terms are designed to establish a transparent, reliable, and professional business relationship between us.
1. Services
I offer specialized front-end design and development for the HubSpot CMS, including (but not limited to):
- HubSpot Template Development: Complete development of themes, web pages, landing pages, blog, and email templates using the drag-and-drop editor or custom-coded layouts (HTML, CSS, JavaScript, and HubL).
- HubSpot Custom Module Development: Fully reusable custom-coded modules using HTML, CSS, JavaScript, and HubL.
- HubSpot CMS Support: Ongoing technical support for HubSpot tools including HubDB, file manager, and template management.
Page & Content Creation
While my core services focus on module/template development, I assist with page, Quote, Workflows and email creation based on provided content (text, images, etc.).
Languages
I code using HTML5, CSS3, JavaScript (ES6+), and HubL.
Browser & Email Client Compatibility
All deliverables are built to be responsive and compatible with modern browsers, including Chrome, Firefox, Edge, and Opera, and are tested on Chrome for Android. Email templates are tested using Litmus for popular clients like Gmail, Outlook (Desktop/Web), and mobile apps.

2. Project Scope
The agreed scope will be clearly defined via email before work begins—covering deliverables, pricing, payment terms, and timelines.
Quotes remain valid for 7 days. After that, pricing and availability may change.
Timelines
Availability will be shared on request. However, I reserve time only after an agreement is reached and the initial payment is made.
3. Delays
Client Responsibility
Delays in providing required assets or feedback may impact delivery timelines.
Force Majeure
Unexpected delays due to illness, emergencies, or natural events may arise. I’ll communicate proactively and resume work ASAP.
4. Revisions & Approvals
Revisions
Each project includes up to 2 revision rounds. Feedback is expected within 14 days. Post that, the work is considered approved.
Out-of-scope revisions are billed at USD $20/hour, with prior notice.
Approval
Once the project is marked complete, you have 14 days to review and request changes. After that, approval is assumed and the final balance becomes due.
5. Pricing & Payment Terms
Pricing Models
- Project-Based: Fixed cost for defined work.
- Hourly: USD $20/hour for flexible or open-ended tasks.
- Retainer: Weekly or monthly billing for ongoing services (3-month minimum).
All prices are in USD. Applicable taxes are added where relevant.
Minimum Engagement
Minimum engagement is typically USD $500.
Payment Schedule
- Project-Based: 50% upfront, 50% on completion. For long projects, milestone-based payments may apply.
- Hourly: Weekly invoicing based on logged hours (rounded to 0.5 hour).
- Retainer: Weekly/monthly invoicing from the agreement start date.
For future-dated projects, a non-refundable 25% deposit secures the schedule.
Invoices are due upon receipt and must be paid within 30 days. Failure to do so may result in halted work, revoked access, or removed deliverables until payment is resolved.

- Bank transfers (details provided on request)

Scope & Cost Updates
If the scope changes mid-project, updated costs and revised timelines will be shared for approval before continuing.
Cancellations & Refunds
- Full refund if canceled 30+ days before project start.
- 50% refund if canceled 14–29 days before start.
- No refund if canceled less than 14 days before start.
If canceled within 48 hours of payment (for payments made <14 days from start), 100% refund is available—minus any hours worked at $50/hour.
6. Technical Support
Three months of post-launch support is included for any technical issues directly related to the delivered work. Enhancements or new features are billed separately.
7. Communication & Availability
Working Hours
Monday–Friday, 9 AM–5 PM EST. Communication and work will typically occur during these hours. Alternative arrangements may be made at a premium if needed.
Response Times
Replies are usually sent within 1 business day. For high-priority projects, an SLA can be discussed and documented.
8. Legal Provisions
Termination
- You may terminate the agreement with 7 days written notice.
- I may terminate with 30 days written notice.
Upon termination, you will receive all completed work and work in progress. Payment will be due for completed deliverables and partial work at agreed rates.
Liability
I’m not liable for losses or damages arising from the use of my services or deliverables.
Loss of Earnings
No liability is accepted for lost revenue, opportunities, or indirect damages resulting from the use or non-use of deliverables.
Confidentiality
Any client-provided confidential information will not be shared or misused under any circumstances.
Ownership
Full ownership of all deliverables transfers to you upon full payment. I retain the right to showcase the work in my portfolio and promotional channels.
Independent Contractor
- I work independently using my own tools and methods.
- No employment or partnership is implied.
- I do not act on your behalf or bind you to agreements.
- Benefits, payroll, and employment obligations do not apply.
No Exclusivity
This is a non-exclusive agreement. I may work with other clients during and after this engagement.
